Limitations of 13F Data
SEC Form 13F filings have inherent limitations that users should understand:
- 45-Day Delay: 13F filings are due 45 days after the end of each calendar quarter. The positions shown may no longer reflect current holdings.
- Long Positions Only: 13F filings only report long positions in certain qualifying securities. Short positions, many derivative instruments, and certain other holdings are not reported.
- Minimum Threshold: Only institutional investment managers with at least $100 million in qualifying assets are required to file.
- Confidential Treatment: Some positions may be omitted or delayed if the filer has been granted confidential treatment by the SEC.
- Aggregated Holdings: Some filings represent aggregated holdings across multiple funds or accounts managed by the same entity.
- Self-Reported Data: The accuracy of 13F filings depends on the filer. Errors, amendments, and omissions in the original filing will be reflected in the data shown here.
Limitations of NPORT-P Fund Data
NPORT-P filings are submitted monthly by registered investment companies but are subject to specific limitations:
- Quarterly Public Availability: Only the third month of each fiscal quarter is made publicly available by the SEC. Filings for the first and second months of each quarter are not publicly disclosed.
- Point-in-Time Snapshot: Holdings represent positions as of the filing date and may not reflect current fund composition or allocations.
- Self-Reported Classifications: Asset categories, valuations, fair value levels, and security identifiers are self-reported by the fund registrant and have not been independently verified.
- Derived Calculations: Concentration ratios, net asset values, and other derived metrics are computed from reported data and may differ from official fund performance or valuation figures published by the fund itself.
- Not Performance Data: NPORT-P data reflects disclosed holdings, not fund performance, total returns, or risk characteristics.
Limitations of Schedule 13D / 13G Data
Schedule 13D and 13G filings disclose beneficial ownership of more than 5% of a registered class of securities. Users should be aware of the following limitations:
- Filing Deadlines: Schedule 13D filers are required to file within 10 calendar days of crossing the 5% ownership threshold. Positions shown may not reflect ownership at the time you view them.
- Amendment Thresholds: Amendments to Schedule 13D are required only when there is a material change in the information reported. Small changes in position size may not trigger an immediate amendment filing.
- Stated Intent: A Schedule 13D filing may include a description of the filer's intentions regarding the issuer. This stated intent can change after filing without immediate disclosure requirements.
- Schedule 13G vs. 13D: Schedule 13G is a shorter-form filing available to passive investors. The use of 13G indicates the filer does not intend to influence control of the issuer, but this passive status can change.
- Ownership Calculations: Percentage ownership figures are computed using share counts reported in the filing and may not reflect subsequent share issuances, buybacks, or other changes to the outstanding share count.
